Terms of Service

Welcome to Eleven Dash. These Terms of Service ("Terms") govern your access to and use of our website, platform, and services, including but not limited to AI Voice, AI Chat, AI Website Builder, and any other services we may offer (collectively referred to as "Services"). By accessing, browsing, or using our Services, you acknowledge that you have read, understood, and agree to comply with these Terms, as well as any additional policies, guidelines, or rules applicable to specific services offered through Eleven Dash. 

 If you do not agree to these Terms, please do not use or access any part of our Services. Your continued use of the Services following any modifications or updates to these Terms will constitute your acceptance of those changes. If you do not agree with the updated Terms, you must cease using the Services immediately. 

 These Terms create a legal agreement between you and Eleven Dash. As such, it is important that you read and fully understand these Terms before proceeding to use the Services.

1. Acceptance of Terms

By using our Services, you represent and warrant that you are at least 18 years of age or older, or have obtained the consent of a parent or legal guardian to access and use the Services. If you are accessing or using the Services on behalf of a company, organization, or other legal entity, you further represent and warrant that you have the legal authority to bind that company or entity to these Terms and that you are duly authorized to act on behalf of the company or entity in entering into this agreement. If you are under the age of 18, you must have the consent of a parent or guardian to use the Services, and the parent or guardian agrees to be bound by these Terms. If you do not meet the eligibility requirements set forth in this section, you must refrain from using the Services. 

 In the event that you are using the Services on behalf of a company or organization, you acknowledge and agree that you are fully responsible for ensuring that the company or organization complies with these Terms and any applicable laws or regulations. You agree that Eleven Dash may hold you personally liable for any breach of these Terms, including any damages, costs, or expenses resulting from your actions or the actions of the company or organization you represent.

2. Modifications to Terms

Eleven Dash reserves the right, at its sole discretion, to modify, amend, or update these Terms at any time, without prior notice. Any such changes or updates will be effective immediately upon posting the revised Terms on the Eleven Dash website or through other communication channels we may use. You acknowledge and agree that it is your responsibility to regularly review these Terms to remain informed of any modifications. 

 Your continued use of the Services after any changes to these Terms have been posted constitutes your acceptance of the modified Terms. If you do not agree to the revised Terms, you must immediately discontinue your use of the Services. Eleven Dash is not responsible for any failure on your part to review the Terms and stay informed about changes. 

 In the event that any modification to these Terms is deemed invalid, void, or unenforceable by a court of competent jurisdiction, such invalidity will not affect the validity or enforceability of the remaining provisions of these Terms.

3. Account Registration

To access certain features or use certain aspects of the Services, you may be required to create an account with Eleven Dash. By registering an account, you agree to provide accurate, complete, and up-to-date information, and to promptly update any such information to keep it accurate and complete. You agree to maintain the confidentiality of your account credentials, including your username and password, and you are solely responsible for all activities that occur under your account, whether or not authorized by you. 

 You further agree to immediately notify Eleven Dash of any unauthorized use of your account or any other breach of security. Eleven Dash will not be held liable for any loss or damage arising from your failure to comply with these security obligations, including any loss or unauthorized access to your account or personal data. 

You represent and warrant that all information you provide during the registration process is truthful and accurate and that you will not impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity. You also agree that you will not use the Services to engage in any illegal activities, including but not limited to fraud, identity theft, or any conduct that violates applicable laws or regulations. 

 By registering an account, you agree to comply with all applicable local, state, and federal laws and regulations regarding your use of the Services. You are responsible for maintaining the security of your account and the confidentiality of your login credentials, and for restricting access to your device or account to prevent unauthorized use. 

 In the event of a dispute over ownership of an account, Eleven Dash reserves the right, in its sole discretion, to determine the rightful owner of the account, including but not limited to requiring proof of identity or other documentation, and may suspend or terminate the account if the rightful ownership is not confirmed.

4. User Conduct

By using our Services, you agree to comply with all applicable local, state, national, and international laws, statutes, ordinances, and regulations, and you acknowledge and agree that your use of the Services is solely at your own risk. You agree not to use our Services for any unlawful, illegal, fraudulent, or prohibited purpose, and you further agree that you will not engage in any conduct that would violate the rights of others or cause harm to Eleven Dash, other users, or third parties. Specifically, you agree not to:

• 1. Engage in illegal activities: You shall not use the Services for any unlawful, illegal, or fraudulent purposes, including but not limited to violating any intellectual property rights, infringing on the privacy rights of others, or engaging in activities such as money laundering, identity theft, or hacking.  

• 2. Harass, abuse, or harm others: You shall not engage in any conduct that harasses, abuses, threatens, defames, or otherwise harms other individuals, including our employees, agents, or any third parties. This includes using the Services to post, transmit, or distribute any content that is obscene, offensive, discriminatory, or otherwise harmful.  

• 3. Interfere with or disrupt the Services: You shall not attempt to gain unauthorized access to any portion of the Services, including any servers or networks connected to the Services, or interfere with or disrupt the Services, servers, or networks, or attempt to bypass any security measures or restrictions that may be implemented to protect the Services. 

• 4. Impersonate others: You shall not impersonate or attempt to impersonate any individual or entity, including but not limited to any employee, officer, or representative of Eleven Dash, or any other user or third party, by using any false or misleading information or otherwise misrepresenting your affiliation with any person or entity.

• 5. Distribute harmful or malicious software: You shall not use the Services to upload, transmit, or distribute any viruses, worms, Trojan horses, or any other harmful, malicious, or destructive code, files, or programs that may harm the functionality or security of the Services, our systems, or the devices of other users.

• 6. Violate intellectual property rights: You shall not upload, transmit, or otherwise distribute any content that violates or infringes upon the intellectual property rights of others, including but not limited to copyrights, trademarks, patents, or trade secrets. You must have all necessary rights, licenses, and permissions to use any content that you upload or share via the Services.

• 7. Engage in spamming or phishing: You shall not use the Services for sending unsolicited messages, emails, or other communications, including spam, phishing, or other forms of unsolicited marketing or advertising. Additionally, you may not collect or harvest any personal data of other users without their consent.

• 8. Distribute offensive or harmful content: You shall not post, upload, or otherwise distribute any content that is defamatory, obscene, offensive, discriminatory, threatening, or in violation of the rights of others, including content that promotes or incites violence, hatred, or discrimination against any individual or group based on race, religion, gender, sexual orientation, or any other protected category.

• 9. Circumvent or disable security features: You shall not attempt to disable, circumvent, or otherwise interfere with any security features or protective measures of the Services, including any technology, access control, or other mechanisms designed to prevent or restrict unauthorized access to the Services or the data of other users.

• 10. Engage in conduct that could damage Eleven Dash's reputation: You shall not engage in any conduct that could harm the reputation, credibility, or business interests of Eleven Dash, including but not limited to submitting false, misleading, or defamatory content or participating in any activities that would undermine or damage the trust and goodwill of Eleven Dash and its services.

Enforcement of these Terms 

Eleven Dash reserves the right to monitor your use of the Services and to take any actions we deem necessary, including but not limited to suspending or terminating your access to the Services, to ensure compliance with these Terms. We may cooperate with law enforcement or other authorities in investigating any violations of applicable laws or these Terms. You agree to indemnify and hold harmless Eleven Dash from any claims, damages, or liabilities arising out of your breach of these Terms or any unlawful conduct while using the Services.

By using the Services, you acknowledge and agree to comply with the guidelines set forth above, and you understand that failure to adhere to these standards may result in the termination or suspension of your access to the Services, as well as legal action where appropriate.

5. Payment Terms

By subscribing to and using the Services provided by Eleven Dash, you agree to the following payment terms, which govern your payment obligations, billing, and associated fees. All payment terms are subject to change at Eleven Dash's discretion, as outlined in the "Modifications to Terms" section. You are responsible for reviewing these payment terms regularly.

• 1. Subscription Fees: The Services are provided on a subscription basis, with different pricing tiers available as specified on the Eleven Dash website. You agree to pay the applicable subscription fee for the plan you select, which may include additional charges for certain features or services beyond the standard subscription plan. The subscription fees are as follows:

• Tier 1: $97 per month
• Tier 2: $197 per month
• Tier 3: $297 per month

Subscription fees are subject to change, and any changes will be communicated to you as outlined in the "Modifications to Terms" section.

• 2. Free Trial Period: New users may be eligible for a 14-day free trial, which provides access to the Services at no cost for the first 14 days. The free trial begins on the date of account registration, and no charges will be incurred during the trial period. At the end of the trial period, you will be automatically billed for the selected subscription plan unless you cancel your subscription before the trial ends.

• 3. Billing Cycle: Subscription fees will be billed on a recurring monthly basis, beginning after the 14-day free trial or immediately for users who do not qualify for the trial. The payment cycle will continue unless you cancel your subscription in accordance with the cancellation terms outlined below. You authorize Eleven Dash to charge your payment method on a monthly basis for the subscription fees and any additional charges, including applicable taxes.

• 4. Setup Fee: In addition to the recurring subscription fees, a one-time $495 setup fee may apply, which is non-refundable. The setup fee can be paid either as a lump sum or in installments. If you choose the installment option, the setup fee will be divided into five monthly payments of $100 each. You are responsible for ensuring the timely payment of the setup fee. If you cancel your subscription before the full amount of the setup fee is paid, the remaining balance of the setup fee will become due immediately.

• 5. Payment Methods: You agree to provide valid and accurate payment information at the time of registration and to update this information as necessary. Accepted payment methods include credit and debit cards, ACH transfers, or other payment methods as specified by Eleven Dash. By submitting your payment information, you authorize Eleven Dash to process the payment for the subscription fees and any applicable taxes, fees, or charges in accordance with the chosen payment method.

• 6. Taxes and Other Charges: All fees and charges are exclusive of any applicable taxes. You are responsible for paying any taxes, duties, or other governmental charges imposed on the services you purchase, including sales, use, or value-added taxes. If applicable law requires Eleven Dash to collect such taxes, you agree to pay the amount specified.

• 7. Late Payments and Non-Payment: If your payment is not successfully processed or if you fail to make a payment on time, Eleven Dash reserves the right to charge a late fee of $25 for each failed or late payment. If your account remains unpaid for more than 30 days, Eleven Dash may suspend or terminate your access to the Services until the outstanding balance is paid in full. You remain responsible for paying any outstanding amounts, including any applicable late fees.

• 8. Refund Policy: All payments made to Eleven Dash are non-refundable, except where required by applicable law or as otherwise expressly stated by Eleven Dash in these Terms or on our website. If you cancel your subscription during the 14-day free trial, you will not incur any charges, and no refunds will be issued for any payments made prior to cancellation, including setup fees. In the case of termination of your account due to a breach of these Terms, you will not be entitled to a refund.

• 9. Cancellation and Termination: You may cancel your subscription at any time through your account dashboard or by providing written notice to Eleven Dash. If you cancel your subscription, your access to the Services will continue until the end of your current billing cycle, at which point access will be terminated. For subscriptions with an installment plan for the setup fee, the remaining balance of the setup fee will become due immediately upon cancellation. 
• If Eleven Dash terminates your account due to a violation of these Terms or other unlawful conduct, you will not be entitled to a refund of any payments made, and you will remain responsible for paying any outstanding amounts, including the full setup fee balance if applicable.

• 10. Payment Disputes: If you believe that any payment is incorrect, you must notify Eleven Dash in writing within 30 days of the charge. Failure to notify Eleven Dash within this period may result in your waiver of any claims regarding the disputed charge. If a dispute arises over a charge, you agree to cooperate in good faith with Eleven Dash to resolve the issue promptly.

• 11. Changes to Payment Terms: Eleven Dash reserves the right to modify, update, or change these payment terms at any time. Any changes to the payment terms will be effective immediately upon posting the updated terms on the Eleven Dash website or otherwise notifying you. By continuing to use the Services after any changes to these payment terms, you accept and agree to be bound by the modified terms.

• 12. Indemnification for Payment-Related Issues: You agree to indemnify and hold harmless Eleven Dash, its affiliates, and their respective officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including attorney's fees) arising out of or related to any breach of these payment terms, including non-payment or unauthorized charges made to your payment method.

6. Intellectual Property

By using the Services provided by Eleven Dash, you agree to comply with the following terms regarding intellectual property. This section outlines the ownership, protection, and use of intellectual property rights related to the Services and content provided by Eleven Dash, as well as any content you create or upload through the Services. These terms are designed to ensure that both Eleven Dash and its users respect the intellectual property rights of others and protect the proprietary content of Eleven Dash.

• 1. Ownership of Eleven Dash’s Intellectual Property: All content, materials, designs, software, applications, technologies, documentation, and other intellectual property associated with the Services (collectively referred to as "Eleven Dash IP") are the exclusive property of Eleven Dash or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. This includes but is not limited to the following:

• The name "Eleven Dash" and any related trademarks, logos, or service marks.
• All software, code, databases, and other technologies used to operate the Services.
• Any content, designs, text, images, audio, video, and other materials created or provided by Eleven Dash as part of the Services.

You may not copy, modify, distribute, display, sell, lease, sublicense, or otherwise exploit the Eleven Dash IP without prior written permission from Eleven Dash, except to the extent permitted under these Terms or applicable law.

• 2. License Grant to Use the Services: Eleven Dash grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for their intended purpose, subject to compliance with these Terms. This license is granted solely for your personal or business use, depending on the subscription plan you select, and does not transfer any ownership rights to you. You may not sublicense, rent, lease, or otherwise transfer your license or rights under these Terms to any third party.

• 3. User Content and Ownership: As a user, you retain ownership of any content you upload, create, or otherwise submit to the Services, including but not limited to text, images, videos, designs, and other media (collectively referred to as "User Content"). By submitting User Content to the Services, you grant Eleven Dash a worldwide, royalty-free, sublicensable, transferable, and perpetual license to use, display, distribute, reproduce, and modify your User Content as necessary for the provision of the Services, including for purposes of advertising, marketing, or improving the Services. This license is granted solely for the purpose of operating, promoting, and improving the Services and does not transfer any ownership rights in your User Content to Eleven Dash.

• 4. Prohibited Uses of Intellectual Property: You agree not to:

• Use Eleven Dash’s IP for any unlawful, unauthorized, or infringing purposes.
• Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of any software or technology provided by Eleven Dash, except to the extent that such activity is expressly permitted by applicable law.
• Use the Eleven Dash name, logo, or trademarks in any manner that suggests sponsorship, endorsement, or affiliation without Eleven Dash’s prior written consent.
• Remove, obscure, or alter any copyright, trademark, or other proprietary notices placed on or in connection with the Services.

• 5. Third-Party Intellectual Property: The Services may include third-party content, materials, or services that are subject to their own intellectual property rights, and you agree to comply with the applicable terms and conditions associated with such third-party content. Eleven Dash is not responsible for any third-party content or materials provided through the Services, and any use of such third-party content is done at your own risk.

• 6. Feedback and Suggestions: If you provide Eleven Dash with any feedback, suggestions, or ideas for improving the Services (collectively referred to as "Feedback"), you grant Eleven Dash a worldwide, royalty-free, transferable, sublicensable, and perpetual license to use, modify, and incorporate such Feedback into the Services. Eleven Dash is not obligated to pay for or otherwise compensate you for any Feedback you provide, and you agree to waive any moral rights related to such Feedback.  

• 7. Protection of Intellectual Property: Eleven Dash takes reasonable steps to protect its intellectual property, including implementing security measures and monitoring for potential infringements. However, you acknowledge that the protection of intellectual property in the digital environment can be challenging, and Eleven Dash does not guarantee that its intellectual property will be fully protected against unauthorized use, access, or infringement. You agree to immediately notify Eleven Dash of any known or suspected infringement of its intellectual property and cooperate with Eleven Dash in any efforts to protect its intellectual property.

• 8. No Right to Use the Services for Commercial Purposes: Unless expressly authorized by Eleven Dash in writing, you may not use the Services or any Eleven Dash IP for any commercial purpose, including but not limited to resale, redistribution, or sublicensing. Any commercial use of the Services requires a separate agreement with Eleven Dash and may be subject to additional terms and fees.

• 9. Termination of License: If you breach any provision of these Terms, Eleven Dash reserves the right, in its sole discretion, to terminate or suspend your license to use the Services and any associated intellectual property, including any licenses granted for User Content. Upon termination, you must immediately cease all use of the Services and any Eleven Dash IP, and destroy any copies of materials or content you have downloaded or accessed through the Services.

• 10. Ownership of Data: You acknowledge that all data, including personal data, provided to or collected by Eleven Dash in connection with the Services is governed by Eleven Dash's Privacy Policy. While you retain ownership of your personal data, you grant Eleven Dash the necessary rights to process, use, and store your personal data as part of the Services, as outlined in the Privacy Policy. Ownership of data generated by the Services, including analytics, performance data, and other non-personally identifiable information, remains with Eleven Dash.

• 11. Enforcement of Intellectual Property Rights: Eleven Dash reserves the right to take legal action to protect its intellectual property rights, including seeking injunctive relief and monetary damages in the event of any violation or infringement. By using the Services, you agree to cooperate with Eleven Dash in protecting its intellectual property rights, including providing necessary information or evidence in any legal action or dispute related to infringement.

7. License Grant

By agreeing to these Terms of Service, you are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Services provided by Eleven Dash, subject to the conditions and limitations outlined in these Terms. This section outlines the scope, limitations, and conditions of the license granted to you, as well as your responsibilities and obligations related to the use of the Services.

• 1. Scope of License: Eleven Dash grants you a personal, non-exclusive, non-transferable, and revocable license to access and use the Services for the purpose of utilizing the features provided within the scope of the subscription plan you select. The license allows you to use the Services only in accordance with the intended functionality, features, and services available through your chosen plan. This license is granted to you solely for your personal or business use and does not grant you any ownership rights in or to the Services, the Eleven Dash intellectual property, or any content provided by Eleven Dash.

• 2. Limitations of License Your license to use the Services is subject to the following limitations:

• No Modification or Reverse Engineering: You may not alter, modify, translate, adapt, reverse engineer, disassemble, or decompile any part of the Services or any related software, except to the extent permitted by applicable law.
• No Redistribution or Resale: You may not sublicense, sell, rent, lease, distribute, or otherwise transfer any rights to use the Services, or any portion thereof, to third parties, except as explicitly authorized in writing by Eleven Dash.
• No Copying or Replicating: You may not copy, reproduce, duplicate, or otherwise exploit any part of the Services for commercial purposes without prior written consent from Eleven Dash.
• Compliance with Law: You agree to use the Services only for lawful purposes and in compliance with all applicable local, state, national, and international laws, rules, and regulations. You agree not to use the Services for any purpose that could damage, disable, overburden, or impair the Services or interfere with other users' enjoyment of the Services.
• No Infringement of Third-Party Rights: You may not use the Services in any manner that infringes upon the intellectual property rights of Eleven Dash or any third party.

• 3. No Ownership Rights: Nothing in these Terms grants you any ownership interest in the Services, any software or content provided by Eleven Dash, or any intellectual property related to the Services. Eleven Dash retains all rights, title, and interest in and to the Services, including all related software, code, designs, trademarks, trade secrets, and other intellectual property. The license granted to you is strictly limited to the use of the Services as outlined in these Terms.

• 4. User Content and License Grant to Eleven Dash: By uploading, submitting, or otherwise sharing content (e.g., text, images, videos, designs, etc.) through the Services ("User Content"), you grant Eleven Dash a worldwide, royalty-free, sublicensable, transferable, and perpetual license to use, modify, distribute, display, and otherwise exploit your User Content as necessary to provide, improve, and promote the Services. This license includes the right for Eleven Dash to use your User Content in marketing, advertising, and promotional materials, and for other commercial purposes as part of its business operations. You retain ownership of your User Content, subject to the rights granted to Eleven Dash under these Terms.

• 5. Termination of License: Your license to use the Services is effective until terminated by you or Eleven Dash. Eleven Dash may terminate or suspend your license at any time, without prior notice, if it determines that you have violated these Terms or if your subscription has been canceled for any reason. Upon termination of your license, you must immediately cease using the Services and destroy any copies of materials, content, or software obtained through the Services.

• Your Rights Upon Termination: You will not be entitled to a refund of any subscription fees or other charges paid to Eleven Dash, unless otherwise specified in these Terms or applicable law.

• Eleven Dash’s Rights Upon Termination: Upon termination of your license, Eleven Dash may, at its discretion, retain copies of your User Content or other data as required for compliance with legal obligations or internal record-keeping purposes, subject to the provisions of the Privacy Policy.

• 6. Limited Sub-Licensing: While you are granted a license to use the Services, you may not sub-license, transfer, or assign the rights granted to you under these Terms to any third party unless expressly authorized by Eleven Dash in writing. Any attempt to do so without authorization will be deemed a breach of these Terms, and Eleven Dash reserves the right to terminate your access to the Services.

• 7.  Access to Software Updates: As part of your ongoing use of the Services, Eleven Dash may, from time to time, provide updates, upgrades, patches, bug fixes, or other improvements to the Services ("Updates"). These Updates may be automatically applied to your account or require you to manually install them, depending on the specific nature of the update. You agree to accept and install any such Updates in a timely manner to maintain the functionality and security of the Services. Your continued use of the Services after any Updates have been applied constitutes your acceptance of those Updates.

• 8.  No Right to Access Source Code: You do not have the right to access, view, or modify the source code of the Services or any associated software, except where the law specifically grants you such rights. The Services, including any software or code used to operate them, are proprietary to Eleven Dash, and any access to or use of the software is subject to the terms outlined in these Terms.  

• 9.  Non-Transferability of License: The license granted to you under these Terms is personal and non-transferable. You may not assign or transfer your rights or obligations under these Terms, or any rights to access or use the Services, to any third party, whether through sale, lease, sublicense, or otherwise. Any unauthorized assignment or transfer will be considered a breach of these Terms and may result in the termination of your access to the Services.

• 10.  Third-Party Software and Content: Some of the Services may include third-party software, content, or services that are subject to separate terms and conditions, which may impose additional restrictions or requirements. By using the Services, you agree to comply with any applicable third-party licenses or terms of use. These third-party terms are incorporated into these Terms by reference.

• 11.  No Warranty on License: Eleven Dash does not guarantee that the Services will be error-free, uninterrupted, or compatible with all devices or systems. While Eleven Dash strives to maintain the functionality and performance of the Services, it does not warrant that the Services will meet your specific requirements or that the Services will be free from defects or interruptions. Your use of the Services is at your own risk, and Eleven Dash disclaims all warranties related to the license granted under these Terms, except as explicitly stated in these Terms or required by applicable law.

8. Third-Party Services

By using the Services provided by Eleven Dash, you acknowledge and agree to the following terms and conditions regarding the use of third-party services, software, content, and technologies ("Third-Party Services"). These terms govern the use of any third-party materials that may be incorporated into, accessed through, or made available alongside the Services. Third-party services may include tools, applications, or services provided by parties other than Eleven Dash, and your use of such third-party services is subject to additional terms and conditions set forth by the respective third-party providers.

• 1.  Third-Party Service Integration: Eleven Dash may integrate or provide access to third-party services, tools, applications, or content that complement or enhance the functionality of the Services. These third-party services may be embedded within the Services or may require you to access them separately. By using the Services, you acknowledge and consent to the use of such third-party services and the processing of any data associated with them.

• Examples of Third-Party Services may include, but are not limited to, payment gateways, cloud storage providers, API integrations, analytics tools, marketing software, and social media platforms.

• No Endorsement: The inclusion of any third-party services within the Services does not constitute an endorsement, guarantee, or warranty by Eleven Dash regarding the quality, accuracy, reliability, or legality of the third-party services.

• 2.  Third-Party Terms and Agreements: When you access or use Third-Party Services, you may be required to accept additional terms and conditions set forth by the third-party provider. These terms are independent of these Terms and govern your use of the third-party service. You agree to comply with all applicable terms and conditions, privacy policies, and usage requirements associated with any third-party services that you use or access through the Services.

• Responsibility for Compliance: You are solely responsible for reviewing and complying with any third-party terms or policies before using their services, and Eleven Dash is not liable for any breach or violation of these third-party terms.

• No Liability for Third-Party Services: Eleven Dash is not responsible for the availability, quality, or performance of any third-party service and makes no representations or warranties regarding their content, functionality, or services. Any issues that arise from your use of third-party services must be resolved directly with the third-party provider.

• No Refunds: Unless required by applicable law or specified in the applicable terms, Eleven Dash will not issue refunds for payments made prior to termination, including for subscription fees or setup fees..

These Terms of Service and any dispute arising out of or in connection with your use of the Services shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. By using the Services, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Ocala, Florida, for the resolution of any disputes.

You agree that any action or proceeding arising under or related to these Terms shall be brought exclusively in the appropriate courts located in Ocala, Florida, and you hereby submit to the personal jurisdiction of such courts.

In the event that any provision of these Terms is determined to be unlawful, void, or unenforceable, such provision will be deemed severable from the rest of these Terms and will not affect the validity and enforceability of the remaining provisions.

16. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or in connection with these Terms of Service, your use of the Services, or any breach thereof, the following dispute resolution process will apply:

• 1. Negotiation and Mediation:  Before initiating formal legal action, you agree to first attempt to resolve any dispute through good faith negotiations. If a resolution cannot be reached within thirty (30) days from the date the dispute arises, the parties agree to submit the dispute to mediation. Mediation shall be conducted in Ocala, Florida, or at another mutually agreed location. The mediation process will be confidential, and the parties will bear their own costs, including attorney fees, unless otherwise agreed.

• 2. Arbitration:  If the dispute is not resolved through negotiation or mediation, the dispute shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The arbitration shall take place in Ocala, Florida, and will be conducted by a single arbitrator selected by both parties. The decision of the arbitrator will be final and binding, and judgment on the arbitration award may be entered in any court of competent jurisdiction.

• Arbitration Fees: The parties will share the costs of the arbitration equally, including the arbitrator’s fees, unless the arbitrator orders otherwise. Each party will be responsible for its own legal costs and expenses.

• 3. Waiver of Class Actions:  You agree that any dispute, claim, or controversy will be resolved individually, and that no class, representative, or collective action will be brought in connection with any dispute. The arbitrator will not have the authority to hear or resolve class actions or award class-wide relief.  

• 4. Exceptions to Arbitration:  Notwithstanding the foregoing, Eleven Dash retains the right to seek injunctive or other equitable relief in the courts of Ocala, Florida, to prevent or remedy any actual or threatened violation of its intellectual property rights or to enforce any provision of these Terms.

• 5. No Right to Jury Trial:  By agreeing to these Terms, you waive any right to a jury trial in the event of a legal dispute. All claims shall be resolved through the procedures outlined in this dispute resolution section.

• 6. Binding Effect:  Any arbitration or court judgment in accordance with these Terms shall be binding and enforceable in any court of competent jurisdiction.

By using the Services, you acknowledge that you have read, understood, and agreed to the dispute resolution process outlined in these Terms.

17.  Miscellaneous

• 1. Entire Agreement:  These Terms of Service, along with any other policies, guidelines, or agreements incorporated herein by reference, constitute the entire agreement between you and Eleven Dash regarding the use of the Services. They supersede any prior agreements, communications, or understandings, whether written or oral, between the parties with respect to the Services.  
• 2. Severability:  If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect. The unenforceable provision will be deemed modified to the extent necessary to make it enforceable, and the modified provision will reflect the intent of the original provision as closely as possible.
• 3. Waiver:  No waiver of any provision of these Terms will be deemed a further or continuing waiver of such provision or any other provision, and Eleven Dash’s failure to assert any right or provision under these Terms will not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Eleven Dash.
• 4. Force Majeure:  Eleven Dash will not be held liable for any failure or delay in the performance of its obligations under these Terms due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, strikes, technical failures, internet service disruptions, or government actions. If such an event occurs, Eleven Dash’s performance will be excused for the duration of the event, and the time for performance will be extended for a reasonable period.
• 5. Assignment: You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Eleven Dash. Eleven Dash may freely assign or transfer its rights and obligations under these Terms without restriction. These Terms will be binding upon and inure to the benefit of the parties, their successors, and permitted assigns.
• 6. Headings: The section titles and headings used in these Terms are for convenience only and have no legal or contractual effect. They are used solely to make the document easier to read and understand.
• 7.  Survival: Certain provisions of these Terms, by their nature, will survive termination or expiration of these Terms. These include, but are not limited to, provisions relating to intellectual property rights, payment obligations, indemnity, liability limitations, and dispute resolution.
• 8. No Partnership or Agency:  Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Eleven Dash. Neither party has the authority to bind the other in any way, except as explicitly provided in these Terms.
• 9. Compliance with Laws: You agree to comply with all applicable local, state, and federal laws, rules, and regulations in connection with your use of the Services. This includes, but is not limited to, compliance with laws related to data privacy, intellectual property, and export control regulations.
• 10. Independent Contractors: The relationship between you and Eleven Dash is that of independent contractors. Nothing in these Terms should be interpreted to create any form of agency, employment, or partnership between you and Eleven Dash.
• 11.  No Third-Party Beneficiaries: These Terms are intended solely for the benefit of you and Eleven Dash, and they do not confer any rights or remedies upon any third party, unless expressly stated otherwise in these Terms.
• 12. Legal Notices:  Any legal notices or communications under these Terms should be sent to Eleven Dash’s designated contact address, which will be provided in your account settings or customer support channels. You are responsible for keeping your contact information updated with Eleven Dash.

By continuing to use the Services, you acknowledge and agree to these miscellaneous provisions, which govern your relationship with Eleven Dash.

18. Acknowledgment of Electronic Signatures

By accessing or using the Services, you acknowledge and agree that you are entering into a legally binding agreement with Eleven Dash electronically. You consent to the use of electronic signatures, agreements, and other electronic communications related to these Terms of Service and any other agreements or documents related to your use of the Services. 

 You further agree that any actions or approvals taken by you through the Services, such as clicking a button, selecting a checkbox, or otherwise indicating your consent, shall be treated as valid signatures and shall have the same effect as a handwritten signature under applicable law. 

 You agree that these electronic signatures are valid, enforceable, and binding and that you will not contest the validity of any electronic signature or agreement executed through the Services, whether on the grounds that it was not signed in writing or on any other legal grounds.

19.  Refunds and Cancellations

• 1. Subscription Cancellations  You may cancel your subscription to the Services at any time through your account dashboard. Cancellation will be effective at the end of your current billing period, and you will not be charged for the next billing cycle. No partial refunds will be issued for unused portions of the subscription period. 
• 2. Setup Fee Installments If you have chosen the installment option for the setup fee, you are responsible for completing the full payment of the setup fee as outlined in the Payment Terms. Cancellation of your subscription does not relieve you from the obligation to pay any outstanding setup fee installments.
• 3. Refunds All subscription payments are non-refundable, except as otherwise required by applicable law or as specified in these Terms. If you are not satisfied with the Services, you may cancel your subscription at any time, but no refund will be issued for any payments already made.
• 4. Trial Period If you cancel your subscription within the 14-day free trial period, you will not be charged. However, if you cancel after the trial period ends, you will be charged for the next billing cycle, and no refunds will be issued.
• 5. Exceptions In certain circumstances, such as a billing error or other specific issues with the Services, Eleven Dash may, at its sole discretion, offer a partial or full refund. Any refund request should be submitted to our support team at support@elevendash.com.
• 6.Changes to Refund Policy Eleven Dash reserves the right to modify or update the refund and cancellation policy at any time. Any changes will be posted in these Terms and will apply to future transactions.
